Privacy PolicyEffective August 14, 2026This Privacy Policy explains how Sales OS LLC, doing business as Local Eats ("Local Eats," "we," "us," or "our"), collects, uses, discloses, and protects personal information through localeats.news, our Local Eats email newsletter, and related pages, forms, accounts, comments, and services (collectively, the "Services").By using the Services, you acknowledge the practices described in this Privacy Policy. This policy does not apply to third-party websites, restaurants, reservation services, delivery platforms, social networks, or other services that we do not control.

  1. Personal Information We CollectContact and subscription information. We may collect your name, email address, newsletter preferences, subscription status, signup source, and information you provide when you contact us.Account information. If accounts are available, we may collect your username, login credentials or authentication identifiers, profile information, preferences, and account activity. Passwords may be processed by the service provider that supplies the account or authentication function.Restaurant and recommendation submissions. We may collect restaurant names, business contact information, location information, opening details, menus, photographs, links, descriptions, event information, promotional details, and the name and contact information of the person submitting the information.Comments, reviews, and other content. We use information to deliver the newsletter, maintain the website, administer accounts, publish or update restaurant listings, enable comments, and process submissions and recommendations.Communicate with you. We use information to send newsletter issues, service notices, responses, confirmations, and other communications you request or reasonably expect.Personalize and improve. Beehiiv and Email CommunicationsWe use Beehiiv to host and distribute the Local Eats newsletter and may use Beehiiv-hosted website, referral, survey, analytics, account, and subscription features. Beehiiv processes information for us and may also process information under its own terms and privacy notices when it acts independently.You may unsubscribe from marketing emails at any time by using the unsubscribe link in the message. We may still send non-promotional messages that are necessary to respond to you, administer your account, confirm a request, protect the Services, or comply with law. We may retain your email address on a suppression list so that we can honor an unsubscribe request.

    1. Cookies, Analytics, and Advertising TechnologiesWe and our providers may use cookies, pixels, tags, software development kits, local storage, and similar technologies. These technologies may support essential functions, remember preferences, measure traffic and newsletter performance, detect abuse, and support advertising.Google Analytics. We may use Google Analytics to understand how visitors use the Services. Google Analytics may use cookies or similar identifiers to distinguish users and sessions and produce reports about traffic and engagement.Meta Pixel and related tools. Restaurant submissions, usernames, comments, reviews, photographs, and other content designated for publication may be visible to the public and may remain available in newsletters, archives, screenshots, search results, or third-party copies.Legal, safety, and rights protection. We may disclose information when we reasonably believe disclosure is required by law or legal process, or is necessary to investigate misconduct, enforce agreements, prevent harm, protect rights or property, or maintain the security and integrity of the Services.Business transactions. Effective August 14, 2026These Terms of Service ("Terms") are a binding agreement between you and Sales OS LLC, doing business as Local Eats ("Local Eats," "we," "us," or "our"). They govern your access to and use of localeats.news, the Local Eats email newsletter, and related pages, accounts, forms, comments, listings, and services (collectively, the "Services").By accessing or using the Services, creating an account, subscribing, or submitting content, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

  1. EligibilityYou must be at least 13 years old to use the Services. If you are under the age of legal majority where you live, you may use the Services only with permission from a parent or legal guardian who agrees to these Terms on your behalf. If you use the Services for a restaurant, company, or other organization, you represent that you have authority to bind that organization to these Terms.

    1. Newsletter Subscriptions and CommunicationsWhen you subscribe, you authorize Local Eats and its newsletter provider to send Local Eats emails to the address you provide. Newsletter frequency may vary. You can unsubscribe from promotional emails at any time through the unsubscribe link in the message. We may still send service-related communications that are necessary to administer an account, respond to a request, or address safety, legal, or security matters.

    1. AccountsIf the Services allow accounts, you must provide accurate information, keep your credentials confidential, and promptly update information that changes. You are responsible for activity conducted through your account unless caused by our breach of these Terms or applicable law. We may reject usernames, require changes, or suspend accounts when reasonably necessary to protect the Services or enforce these Terms.

    1. Restaurant Listings and Submitted InformationRestaurants, owners, employees, publicists, agencies, and other contributors may submit information for possible publication. A submission does not guarantee publication, placement, timing, continued availability, a favorable review, or any particular result.If you submit information on behalf of a restaurant or other organization, you represent and warrant that you are authorized to do so; the information is accurate to the best of your knowledge; you have the rights and permissions needed for all text, photographs, logos, menus, trademarks, and other materials; and the submission does not violate law or another person’s rights. You must clearly disclose any ownership, employment, compensation, free product, free meal, agency, family, or other material relationship relevant to the submission.Local Eats may verify, edit, shorten, reformat, decline, remove, archive, or update submitted information. We are not obligated to independently verify every statement or to publish corrections requested by a submitter, although we welcome good-faith corrections.

    1. Reviews, Comments, and User Content"User Content" means reviews, ratings, comments, photographs, restaurant information, corrections, recommendations, messages, and other material you submit to or through the Services. You retain ownership of your User Content, subject to the license below.By submitting User Content, you grant Local Eats a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, edit for length, clarity, formatting, or technical requirements, publish, display, distribute, adapt, create excerpts from, and promote that User Content in connection with Local Eats and the Services, including in newsletters, archives, websites, social media, promotional materials, and successor formats. This license lasts for as long as the content is used in connection with the Services. Removal from an active page does not require recall of newsletters already sent or deletion from backups, archives, screenshots, search results, or third-party copies.You represent and warrant that you own or control the rights needed to submit the User Content; the content is truthful as to your own experience and is not fabricated or manipulated; any material connection is clearly disclosed; and the content does not infringe intellectual property, privacy, publicity, contractual, or other rights. Do not post confidential information, personal contact information about others, health information, or other sensitive personal data.We may moderate, delay, refuse, edit, disable, or remove User Content at our discretion, but we are not obligated to monitor all content. The views expressed by users are their own and do not necessarily reflect the views of Local Eats.

    1. Sponsored Content and AdvertisingLocal Eats may publish paid advertising, sponsored listings, promotional offers, or other compensated content. We intend to identify paid or sponsored content in a reasonably clear manner. Compensation may affect whether, when, or where sponsored content appears. Unless expressly stated, an advertiser or sponsor does not control independent editorial content, and publication of an advertisement is not a guarantee or endorsement of the advertiser’s products, services, safety, availability, or claims.Advertisers and sponsors are responsible for the accuracy, legality, substantiation, fulfillment, and availability of their offers and claims. Any transaction or dispute between you and an advertiser, sponsor, restaurant, reservation provider, delivery platform, or other third party is between you and that third party.

    1. Editorial Content and ReviewsLocal Eats content may include facts, opinions, recommendations, rankings, reviews, excerpts, reader submissions, and information supplied by restaurants or third parties. Reviews and recommendations are subjective and may change. Inclusion, omission, ranking, criticism, or praise does not create a duty to any restaurant, reader, or other person.We may accept complimentary meals, invitations, samples, access, advertising, sponsorships, or other benefits. When a relationship could materially affect how a reasonable reader evaluates content, we intend to disclose it in or near the relevant content. Sponsored content will be treated as advertising or promotional content, not disguised as independent reporting.

    1. Acceptable UseYou may not use the Services to violate law; impersonate another person or misrepresent an affiliation; submit fraudulent, fabricated, defamatory, harassing, threatening, discriminatory, obscene, or unlawfully deceptive content; post content you do not have permission to use; reveal another person’s sensitive or private information; manipulate reviews, ratings, referrals, or engagement; transmit malware or harmful code; scrape, crawl, harvest, or collect information through automated means except as permitted by us or by generally applicable search-engine protocols; interfere with security or operation; gain unauthorized access; send spam; or use the Services to build or improve a competing database or publication through systematic copying.Fair use, ordinary linking, and personal sharing of brief excerpts with attribution are not prohibited by this section. We may investigate suspected misuse and cooperate with lawful requests from authorities.

    1. Local Eats Intellectual PropertyThe Services and their original design, branding, text, graphics, compilations, newsletters, selection and arrangement, and other content created by or for Local Eats are owned by Sales OS LLC or its licensors and are protected by intellectual property laws. Except as expressly allowed by these Terms or applicable law, you may not copy, republish, sell, license, modify, distribute, create derivative works from, or commercially exploit Local Eats content without prior written permission.Local Eats, localeats.news, associated logos, and related names and marks are trademarks or service marks of Sales OS LLC or its licensors. Restaurant names and third-party marks belong to their respective owners. References to them do not imply sponsorship or endorsement unless expressly stated.

    1. Copyright and Rights ComplaintsIf you believe material on the Services infringes your copyright, trademark, privacy, publicity, or other rights, email [email protected] with your name and contact information; identification of the protected work or right; the exact URL or a clear description of the material; the reason you believe the use is unauthorized; and a statement that the information you provide is accurate and submitted in good faith. We may request additional information and may remove or restrict material while reviewing a complaint. Do not knowingly submit a false complaint.

    1. Third-Party ServicesThe Services may contain links, embeds, maps, advertisements, offers, reservation tools, menus, delivery services, ticketing pages, and other third-party content or services. We do not control third parties and are not responsible for their availability, accuracy, security, privacy, terms, products, services, or conduct. Your use of a third-party service is governed by that provider’s terms and policies.

    1. Restaurant Information, Allergies, and SafetyRestaurant hours, locations, menus, prices, availability, ownership, opening dates, event details, policies, ingredients, and other information can change or be incorrect. Verify important details directly with the restaurant or provider before traveling, ordering, making a reservation, purchasing, or relying on the information.Local Eats does not provide medical, dietary, nutrition, food-safety, allergy, or professional advice. Never rely solely on a Local Eats listing, review, photograph, menu, or comment to determine whether food is safe for an allergy, intolerance, medical condition, religious practice, or dietary restriction. Contact the restaurant directly and use your own judgment.

    1. Disclaimer of WarrantiesTO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SALES OS LLC AND LOCAL EATS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, CURRENT, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY RESTAURANT, OFFER, EVENT, RECOMMENDATION, ADVERTISEMENT, OR THIRD-PARTY SERVICE WILL MEET YOUR EXPECTATIONS.

    1. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, SALES OS LLC, LOCAL EATS, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM A RESTAURANT OR THIRD PARTY; OR DAMAGES ARISING FROM YOUR RELIANCE ON CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DIRECTLY TO LOCAL EATS FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some of the above may not apply to you. Nothing in these Terms excludes liability that cannot legally be excluded.

    1. IndemnificationTo the extent permitted by law, you agree to defend, indemnify, and hold harmless Sales OS LLC, Local Eats, and their owners, officers, employees, contractors, affiliates, and licensors from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your User Content; your restaurant or business submission; your violation of these Terms or applicable law; your infringement or violation of another person’s rights; or your misuse of the Services. We may control the defense and settlement of a covered claim, and you agree to reasonably cooperate. You may not settle a claim in a way that imposes liability or obligations on an indemnified party without its written consent.

    1. Suspension and TerminationYou may stop using the Services or unsubscribe at any time. We may suspend, restrict, or terminate access; remove content; or discontinue all or part of the Services when reasonably necessary for security, legal compliance, operational reasons, enforcement of these Terms, or protection of users, restaurants, third parties, or Local Eats. Provisions that by their nature should survive termination will survive, including intellectual property, licenses for previously distributed content, disclaimers, limitations of liability, indemnification, and dispute provisions.

    1. Changes to the Services or TermsWe may modify or discontinue features and may update these Terms. Revised Terms will be posted at the legal-page URL with a new effective date. If a change is material and applicable law requires additional notice or consent, we will provide it. Your continued use after revised Terms become effective constitutes acceptance of the revised Terms. Changes will not retroactively reduce rights that cannot lawfully be reduced.

    1. Governing Law and VenueThese Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any dispute not resolved informally will be brought exclusively in a state or federal court of competent jurisdiction located in Texas, and each party consents to personal jurisdiction and venue there, except where applicable consumer law requires otherwise. Before filing a claim, you and Local Eats agree to make a reasonable good-faith effort for 30 days to resolve the dispute by written notice sent to [email protected].

    1. General TermsThese Terms and the Privacy Policy are the entire agreement between you and Local Eats regarding the Services, unless a separate written agreement applies. If a specific submission, advertising, sponsorship, or promotion agreement conflicts with these Terms, that specific agreement controls for its subject matter. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them as part of a reorganization, merger, financing, asset transfer, or sale of the business.
